Terms of Service.

These terms set the framework within which Mavan Services Ltd works with its clients and visitors. Specific engagements are always covered by an additional written scope or contract.

1. About Us

This website is operated by Mavan Services Ltd, a company registered in England and Wales (company number —). Where an office address is published, it appears at the foot of this site. References to "we", "us" and "our" mean Mavan Services Ltd.

2. Use of this Site

The content of this website is provided for general information about our services. Nothing on the site constitutes legal, financial, tax or other professional advice, and nothing on the site forms a binding offer to contract. You agree not to use the site for any unlawful purpose, not to attempt to interfere with its security, and not to scrape or extract content other than for personal, non-commercial use.

3. Our Services

Mavan Services provides software engineering services to UK businesses, including but not limited to: internal tools and dashboards; workflow automation; system integrations; AI agents and assistants; and data and reporting. The exact scope of any engagement is defined in a written statement of work or contract, which prevails over any general description on this website.

4. Engagement & Fees

Engagement models (fixed-fee, retainer, managed operations) are described on our Engagement page. Specific fees are set out in writing in each engagement document. Unless otherwise agreed in writing, fees are quoted in GBP and exclusive of VAT; expenses required to deliver the work (such as agreed third-party services) are billable at cost.

5. Client Responsibilities

To deliver effectively, we need timely cooperation from the client, including:

  • Reasonable access to the systems, data and people necessary for the work.
  • Designated decision-makers empowered to approve scope, designs and releases.
  • Accurate and complete information about existing systems, integrations and constraints.
  • Timely review and feedback at agreed milestones.

Where client delays materially affect a timeline or fixed-fee scope, we reserve the right to re-quote or re-plan the relevant phase.

6. Intellectual Property

Subject to full payment of all fees due, the bespoke source code we write specifically for you under an engagement is assigned to you on completion of the relevant phase. We retain ownership of our pre-existing tools, libraries, templates, internal methodologies and general know-how, and grant you a perpetual, royalty-free, non-exclusive licence to use any such materials embedded in delivered work for the purposes of operating the delivered solution.

Third-party components are subject to their own licences, which we will identify in delivered work.

7. AI Services — Specific Terms

Where an engagement involves AI agents, assistants or LLM-based features:

  • You understand that AI outputs are probabilistic and may contain errors. Critical decisions must always remain under human review unless explicitly agreed otherwise in writing.
  • You are responsible for ensuring the data you provide to AI features is lawful and appropriate for that use (including consent and confidentiality).
  • Underlying third-party AI providers may have their own terms (e.g. data use, regional availability). We will identify the relevant providers in our scope.

8. Confidentiality & Data Protection

We treat your business information as confidential and use it only to deliver the engagement and operate our business. Where we process personal data on your behalf, we do so as a data processor, in accordance with UK GDPR and the Data Protection Act 2018, under terms set out in a separate Data Processing Addendum where required. Our general privacy practices are set out in our Privacy Policy.

9. Warranties & Acceptance

We warrant that we will perform our services with reasonable skill and care, by appropriately qualified personnel, and in accordance with the agreed scope. Deliverables are deemed accepted on the earlier of: (a) explicit written sign-off; or (b) 14 days after delivery where no material defect has been raised in writing.

Except as expressly stated in an engagement document, no other warranties (express or implied) are given.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Our total aggregate liability arising out of or in connection with any engagement (whether in contract, tort, statute or otherwise) shall not exceed the greater of (i) £20,000 and (ii) the fees actually paid by the client to us under the relevant engagement in the 12 months preceding the event giving rise to the claim.
  • We shall not be liable for any indirect, consequential, special, incidental or punitive losses, nor for loss of profit, revenue, anticipated savings, business opportunity, goodwill or data.

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot lawfully be limited or excluded.

11. Privacy & Cookies

Our use of personal data (including from website visitors) is described in our Privacy Policy. Our cookie practices are described in the Cookies section.

12. Changes to these Terms

We may update these terms from time to time. The version published on the website at any given time is the version in effect for use of the website. Engagement-specific terms agreed in writing remain in force for that engagement regardless of subsequent website changes.

13. Governing Law & Jurisdiction

These terms and any engagement entered into with Mavan Services Ltd are governed by the laws of England and Wales. The Courts of England and Wales shall have exclusive jurisdiction over any dispute arising from them, save that we retain the right to bring proceedings in any jurisdiction in which a client is established or has assets.
